Terms of Service

These Terms of Service ("Terms") govern the use of ARD Sentinel™ ("Service") operated by ARD Sentinel ("Provider"), an EU-established service provider. The Service is exclusively for business customers (B2B); consumers are not the target audience.
Important
Use of the Service constitutes acceptance of these Terms, our Privacy Policy and the Data Processing Agreement (DPA). At checkout you will be asked to explicitly accept all three.
1. Subject of the agreement
The Service:
- Monitors publicly available reviews about your business locations
- AI-classifies reviews by their fake-probability (Sherlock V4 pipeline)
- Generates DSA Art.16 takedown notices + GDPR Art.17 erasure requests
- Submits notices to target platforms (Google Maps, TripAdvisor, Booking, Firmy.cz, etc.)
- Escalates inactive cases to ADR bodies, DSCs, and competent courts
The Service is not:
- A guarantee of review removal — the platform/court decision is independent
- Legal advice — we are not a licensed law firm
- For consumers — only registered B2B customers
2. Plans & pricing
- Shield — €199/month, 1 location, monitoring of 5 platforms, Sherlock V4 detection, evidence preservation and DSA deadline tracking
- Sentinel — €299/month, 1 location, one-click takedown filing (Reaction), Sherlock legal submission packages, photo forensics and competitor intelligence
Monthly upfront billing via Stripe. Cancellation at any time, billed through end of paid period. Refund only in case of Provider's material SLA breach.
Provider may change pricing with 60-day notice. Customer may terminate before new pricing takes effect.
3. Customer obligations
You must:
- Provide accurate billing information (Company ID, VAT, address)
- Be the actual owner or authorized representative of the monitored business
- Manually approve or reject each Sherlock-classified review before notice generation
- Not submit notices about reviews you know to be true
- Comply with applicable laws (DSA, GDPR, civil/criminal law of your state)
- Accept the DPA (annexed to these Terms)
You must not:
- Use the Service for reviews about competitors you do not represent
- Attempt to bypass rate limits, kill switches, or cost guards
- Reverse-engineer Sherlock V4 or extract AI signals beyond your account
- Share login credentials with unauthorized third parties
4. Provider obligations
- Provide the Service with professional care
- Comply with GDPR and DSA in all personal-data processing
- Notify Customer of serious incidents within 24 hours
- Perform daily Firestore backups (EU region) + quarterly restore drills
- Maintain transparency via sub-processor list
5. SLA
- Monthly dashboard availability: 99.5%
- Sherlock detection (Sentinel plan): within 6 hours of publication
- Support response: 24h (Mon-Fri 9:00-17:00 CET)
SLA credits for downtime:
- 99.0% – 99.5% → 10% of monthly fee
- 95.0% – 99.0% → 25%
- < 95.0% → 50%
- < 90% → right to terminate with full refund of unused portion
6. Limitation of liability
Provider is not liable for:
- Platform decisions on review removal
- Lost profits resulting from fake reviews (compensatory damages are subject to your claim against the attacker)
- Indirect, consequential, or incidental damages
- Damages from Customer's breach of these Terms
To the maximum extent permitted by law, Provider's aggregate liability is capped at twelve times (12×) the monthly fee paid by Customer in the month preceding the damage event.
7. Term & termination
Indefinite term with monthly billing cycle. Customer may cancel any time (effective at end of paid period). Provider may terminate for breach (7-day notice) or operational reasons (30-day notice + full refund of unused portion).
On termination:
- Dashboard access revoked at end of period
- Customer data retained 30 days for recovery, then hard-delete
- Active notices + evidence retained 7 years (DSA Art.5(2))
- Stripe records retained per accounting law (10 years)
8. Intellectual property
- Sherlock V4, AI models, code, dashboard design — Provider's property
- Customer data (reviews, classifications, notices) — Customer's property
- Customer must not copy, distribute, or reverse-engineer Provider's IP
9. Governing law & jurisdiction
- Governing law: Law of the EU Member State where the Provider is established (full details in the executed Data Processing Agreement)
- Jurisdiction: Competent court of the Provider's Member State of registration
- This is B2B — consumer-protection forum-shopping does not apply
- Disputes preliminary process: 30-day direct negotiation before litigation
10. Changes to these Terms
Provider may amend these Terms with 30-day notice by email + dashboard banner. Customer may terminate before changes take effect (no penalties). Continued use after effective date constitutes acceptance.
